OFFICIAL RULES
NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN.
A PURCHASE WILL NOT INCREASE YOUR CHANCE OF WINNING. VOID WHERE
PROHIBITED. BY ENTERING, ENTRANT AGREES TO BE BOUND BY THESE
OFFICIAL RULES AND THE DECISIONS OF THE JUDGES, WHICH SHALL BE
FINAL IN ALL RESPECTS.
BY ENTERING THIS CONTEST, YOU, (“YOU” OR THE “ENTRANT”) AGREE THAT
THE PERSONAL INFORMATION COLLECTED FROM YOU IN CONNECTION WITH
THIS CONTEST MAY BE SHARED WITH FRITO-LAY, INC. ("SPONSOR"),
ENTERTAINMENT GROUP (“UEG”) AND ALL DEF DIGITAL, INC. SPONSOR'S USE
OF YOUR PERSONAL INFORMATION IS SUBJECT TO SPONSOR’S PRIVACY
STATEMENT LOCATED AT Privacy Policy.
1. ELIGIBILITY: The Contest is open only to legal residents of any of the fifty (50)
United States or the District of Columbia, who are eighteen (18) (nineteen (19] in AL
and NE) years of age or older at the time of participation. The following persons are not
eligible to participate: Employees, contractors, directors and officers of Frito-Lay, Inc.
(“Sponsor”), United Entertainment Group (“UEG”), All Def Digital, Inc., their parent,
subsidiary and affiliated companies, distributors, Web design, advertising, fulfillment,
judging and promotion agencies involved in the administration, development, fulfillment
and execution of this Contest (collectively, “Contest Parties”), and the immediate family
members (spouse, parent, child, sibling, grandparent, and/or “step”) of each and those
living in their same households (those persons whether related or not who live in the
same residence for at least three months during the twelve-month period preceding the
start date of the Contest).
2. CONTEST PERIOD: Contest begins at 12:00:00 p.m. (noon) Central Time (“CT”) on
July 17, 2018 and ends at 11:59:59 p.m. CT on August 17, 2018 (“Contest Period”). The
time clock of the computer administering this Contest is the official clock for this
Contest.
 
3. TO ENTER: To enter the Contest, go to www.DoritosBlazetheBeat.com (the “Contest Site”), during the Contest Period. BEFORE YOU WILL BE ALLOWED TO ENTER, YOU MUST EXPRESSLY AGREE AND CONSENT TO THESE OFFICIAL RULES AND THE SPONSOR’S POSTED PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT ENTER THE CONTEST. If you wish to submit an entry in this Contest,
download the mp3 file entitled The Blaze Beat (the “Beat”),
follow the onscreen instructions to properly complete the registration form,
attach your entry video,
and submit both the registration form and entry video for the Contest (collectively your “Submission”) to the Contest Site.
Before uploading the Submission, you will be
required to agree that you have read or have had these Official Rules read to you and
you are in agreement with these Official Rules. Submissions that do not include all
required information and adhere to these Official Rules and any Terms of Service on the
Contest Site, as determined by Sponsor in its sole discretion, will be considered void.
Once uploaded, Submissions become the property of Sponsor and will not be
acknowledged or returned. Sponsor may, in its sole discretion, remove, delete and/or
disqualify any Submission and/or Entrant (as defined in “Guidelines and Restrictions”
below) it deems inappropriate or otherwise non-compliant.
Creative Assignment
The creative assignment for the Contest (“Creative Assignment”) is as follows:
Entrant must create an original video that shall be no longer than sixty seconds (:60) in
length using only Entrant’s own original lyrics and Entrant’s voice (“Entrant’s Material”).
As part of Entrant’s original submission, You MUST record the Entrant’s Material with
the Beat provided on the Contest Site.
Submission Judging Criteria
Judging criteria for the Submission round (“Submission Round Judging Criteria”) is as
follows:
• Overall Creativity & Originality – 40%
• Performance Quality – 25%;
• Delivery of Lyrics - 25%;
• Authenticity and Brand Alignment – 10%.
Final Competition Judging Criteria
Judging criteria for the final competition round (“Final Competition Judging Criteria”) is
as follows:
• Overall performance and stage presence – 40%;
• Originality of lyrics – 30%
• Audience reaction and participation – 30%

Submission Technical Requirements
• Valid video formats: MPG, MPEG, MPEG-2, MP4, WEbM or FLV.
• Video length must not exceed sixty (60) seconds.
Guidelines and Restrictions
Ø Submissions must be in English, as determined by Sponsor in its sole discretion.
Ø All Submissions must be received during the Contest Period and in no case later
than 11:59:59 pm CT on August 17, 2018.
Ø Entrant shall also be deemed the person uploading the Submission. The Entrant
must meet the eligibility requirements, must be the person who created the
Submission, and must be the one (1) person who is the authorized account
holder of the e-mail address used to enter the Contest. In the event of an identity
dispute between the Entrant and an individual who claims to be the authorized
account holder of the email associated with the Submission, the dispute will be
resolved in favor of the individual whose name is listed on the registration form
as the Entrant, regardless of who the authorized account holder of the email is,
provided that the individual named on the entry form is the individual who
transmitted the Submission and is the author of the Submission. “Authorized
account holder” is defined as the natural person who is assigned an e-mail
address by an Internet access provider, on-line service provider or other
organization which is responsible for assigning e-mail addresses or the domain
associated with the submitted e-mail address.
Ø Each individual Entrant is allowed a total of ten (10) Submissions. Each
Submission must be substantially different from previously submitted
Submissions. If Sponsor determines, in its sole discretion, that an Entrant has
submitted two (2) or more Submissions that are not substantially different from
each other, the entrant and/or the duplicative Submissions may be disqualified.
Ø Each Submission:
Ø must be the original work of the Entrant produced for this Contest, and cannot
use or employ any electronic altering/changing of Entrant’s voice;
Ø must not have been entered in or won previous contests or awards;
Ø must not infringe on any party’s intellectual property, including but not limited
to copyright, trademark or right of privacy of publicity or any other rights (this
means that the Submission should not name or identify any third party
individuals, living or dead, or any other brands or products other than that it
may identify DORITOS® brand Tortilla Chips);
Ø must be suitable for display and publication on national television in the
United States (e.g. it may not be obscene or indecent, including but not
limited to nudity or profanity); it must not contain obscene or pornographic
material, it must not contain defamatory statements or messages (including
but not limited to words, images, or symbols that are widely considered
offensive to individuals of a certain race, ethnicity, religion, political party,
sexual orientation or socioeconomic or other group), it must not include
threats to any person, place, business, group or world peace, it must not
invade privacy or other rights of any person, firm or entity, and it must not in
any other way violate applicable laws and regulations or network standards;
Ø must not promote terrorist acts such as providing instructions on how to
assemble bombs, grenades and other such weapons or provide instructional
information about illegal activities;
Ø must not defame, misrepresent or contain disparaging or slanderous remarks
about Sponsor, its customers or its products, or other people, products or
companies;
Ø must not feature or refer to any food products other than DORITOS® brand
Tortilla Chips;
Ø must not feature alcohol products, marijuana, tobacco products (including
cigarettes, cigars, pipe tobacco, chewing tobacco, electronic cigarettes, and
snuff), contraceptives, feminine hygiene products, fireworks, firearms and
ammunitions, prescription drugs, illegal drugs and related drug paraphernalia,
nutritional supplements, lotteries and gambling (including horse or dog racing
and products or services related to gambling);
Ø must not utilize live animals unless the Entrant has obtained the consent of
the animal’s owner and an affidavit from the animal owner or wrangler that the
animal was not harmed in the making of the commercial (nor should animal
be depicted in any way that suggests it is being harmed). Entrants are
encouraged to contact the local Humane Society prior to filming the
Submission to verify appropriate animal safeguards on set;
Ø must not contain any copyrighted works (other than as owned by the Entrant).
You may not include any music in your Submission except for the DORITOS®
beats provided on the Contest Site (“DORITOS® beats”). Use of any other
music in your Submission may result in disqualification of Submission, in
Sponsor's sole discretion. Use of DORITOS® beats is for the exclusive use of
individuals to create Submissions specifically for this Contest per the terms
and conditions of these Official Rules and is only permitted for the duration of
the Contest. All other uses of DORITOS® beats are prohibited and can
constitute copyright infringement. Violations of the rights of the copyright
owners in the DORITOS® beats will be prosecuted to the fullest extent of the
law by the owners of such DORITOS® beats;
Ø must not feature trademarks, logos or trade dress owned by others (except
Sponsor’s trademarks, logos or trade dress), or advertise or promote any
brand or product of any kind (except Sponsor’s products), without permission,
or contain any personal identification, such as license plate numbers,
personal names, e-mail addresses or street addresses;
Ø must not feature recognizable buildings and other architectural works or
recognizable artwork, as many are protected by copyright;
Ø must not feature materials embodying the names, likenesses, photographs, or
other indicia identifying any person, living or dead, other than the entrant,
without permission;
Ø must not communicate messages or images inconsistent with the positive
images and/or goodwill to which Sponsor wishes to associate; and
Ø must not depict, and must not itself, be in violation of any law.
Ø Sponsor reserves the right but not the obligation, in its sole discretion, to remove
or blur or to ask the applicable Entrant to remove or blur any non-material
elements (e.g. small logos on clothing, artwork hanging in the background, etc.)
rather than disqualify an otherwise compliant Submission.
Ø Each Submission must not have been published previously in any medium; it
must not have been released via any record label, it must not have been used
previously in connection with any other brand and/or product; the Entrant must
not have signed with any record label, music publishing house and/or master
recording studio, now or in the past.
 
All Submissions will undergo preliminary screening for compliance with these Official
Rules before being published or judged; however, such review does not relieve Entrant
from responsibility for compliance with these Official Rules. Submissions that do not
comply in all material respects with these Official Rules or that otherwise contain
prohibited, or inappropriate content as determined by the Sponsor, in its sole discretion,
will be disqualified and will not be published or considered for prizes. Sponsor makes
the final determination as to which Submissions are eligible to take part in this Contest
and be considered for a prize. Certain Submissions may be featured from time to time
on any or all of the Contest Site during the Contest Period and/or in Sponsor’s social
media pages and other channels, in Sponsor's sole discretion; being selected as a
featured Submission is unrelated to the Judging Criteria and does not guarantee
selection as a Finalist or winner in the Contest.
If the actual, alleged or publicized conduct of any Entrant is illegal, or if any Entrant has
been convicted of a crime, or in Sponsor’s sole discretion is otherwise grossly offensive
or violates generally accepted standards of behavior (including but not limited to illicit
drug use or public intoxication) or otherwise leads the Sponsor to reasonably believe or
conclude that the public association with the Entrant subjects Sponsor to ridicule,
contempt, controversy, embarrassment or scandal, Sponsor, in its sole discretion, may
disqualify Entrant and such Entrant’s Submission will no longer be eligible for this
Contest.
Entrant understands and agrees that Sponsor’s use in matters independently developed
of material similar to or identical with the Submission or containing features or elements
similar to or identical with those contained in the Submission will not obligate Sponsor to
negotiate with Entrant, nor will it entitle Entrant to any compensation of any kind. Entrant
agrees and acknowledges that nothing herein shall preclude Sponsor from using any
material in or similar to the Submission without obligation to Entrant, including, but not
limited to, if Sponsor has or has determined that it has an independent legal right to use
such other material, including without limitation, because such features or elements
were not new or novel, or were not originated by Entrant, or were or may hereafter be
independently created by or submitted to Sponsor.
Entrant acknowledges that other Entrants may have used ideas and/or concepts in their
Submission that may be similar in idea or concept to what is included in Entrant’s
Submission. Entrant understands and agrees that he/she shall not have any claim
against any other Entrant or Sponsor arising out any such similarity or be entitled to any
compensation because of any such similarity.
Multiple Entrants may not share the same e-mail address. A potential Finalist may be
requested to provide Sponsor with proof that he/she is the authorized account holder of
the e-mail address associated with the winning Submission and/or an eligible Entrant.
Entrants may not register/enter with multiple e-mail addresses nor may Entrants use
any other device or artifice to register/enter under multiple identities. Any Entrant who
attempts to enter with multiple e-mail addresses under multiple identities will be
disqualified and forfeits any prize won, in Sponsor’s sole discretion.
BY ENTERING A SUBMISSION, ENTRANT ACKNOWLEDGES THAT HIS/HER
SUBMISSION MAY BE POSTED ON SPONSOR’S WEB SITE OR ITS SOCIAL MEDIA
ASSETS, AT SPONSOR’S DISCRETION. Sponsor has no obligation to use or post any
Submission you submit. Sponsor shall have full right and power to copy, publish,
broadcast, display, distribute, use, edit, translate, alter, combine with other material,
reuse and adapt any or all portions of the Submissions in any way and for any purpose
whatsoever, at any time, now or in the future, in any media now known or hereafter
devised throughout the world in any manner whatsoever and for any purpose.
Submissions that are not in accordance with the guidelines as stated herein or are not
received during the Contest Period may be disqualified, as determined in Sponsor’s
sole discretion.
Entrant acknowledges that the SUBMISSIONS POSTED TO THE WEB SITE (IF ANY)
WERE NOT EDITED BY SPONSOR AND ARE THE VIEWS/OPINIONS OF THE
INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS OF SPONSOR IN ANY
MANNER. Any waiver of any obligation hereunder by Sponsor does not constitute a
general waiver of any obligation to entrants. Sponsor reserves the right to waive the
Submission requirements set forth herein in its sole discretion.

4. SUBMISSION GUIDELINES: Submissions must comply with these Official Rules. By
submitting a Submission, you agree that your Submission is gratuitous and made
without restriction, and will not place Sponsor under any obligation, and that Sponsor is
free to disclose the ideas contained in the Submission on a non-confidential basis to
anyone or otherwise use the ideas without any additional compensation to you. You
acknowledge that, by acceptance of your Submission, Sponsor does not waive any
rights to use similar or related ideas previously known to Sponsor, or developed by its
employees, or obtained from sources other than you. Sponsor reserves the right to, and
may or may not, monitor/screen Submissions. By entering, you acknowledge that
Sponsor has no obligation to use or post any Submission you submit. By submitting an
Submission you warrant and represent that it: (a) is your original work, (b) has not been
previously published, (c) has not won previous awards, and (d) that publication of the
Submission via various media including Web posting, will not infringe on the rights of
any third party rights. Each Entrant will indemnify and hold harmless, Sponsor and
Contest Parties from any claims to the contrary.
If you think that any Submission infringes your intellectual property rights, please follow
the notification guidelines as stated herein. Frito Lay North America, Inc. investigates
notices of alleged infringement and takes appropriate actions under the Digital
Millennium Copyright Act, Title 17, United States Code, Section 512(c) ("DMCA"). Frito-
Lay’s Designated Agent to receive notifications of claimed copyright infringement is: By

E-mail: [email protected]. Your notice of claimed infringement must
include the following information: (a) A physical or electronic signature of a person
authorized to act on behalf of the copyright owner; (b) Identification of the copyrighted
work claimed to have been infringed; (c) Identification of the material that is claimed to
be infringing or to be the subject of the infringing activity, and that is to be removed or
access to which is to be disabled, as well as information reasonably sufficient to permit
us to locate the material; (d) Information reasonably sufficient to permit us to contact the
copyright owner, such as an address, telephone number, and, if available, an electronic
mail address; (e) A statement that you have a good faith belief that use of the material
in the manner complained of is not authorized by the copyright owner, its agent, or

5. SELECTION OF WINNERS:
Finalists: All eligible Submissions submitted during the Contest Period will be reviewed
by Sponsor, Sponsor’s agency(ies) and/or Sponsor’s selected Artist/Music Talent (the
“Talent”) (altogether the “Panel”). The Panel will evaluate each such eligible Submission
based on the Submission Round Judging Criteria set forth above in Rule #3. The top
five (5) Entrants who submitted the Finalist Submissions will be notified by Sponsor that
their Submissions have been selected as potential Finalist Submissions (“Potential
Finalist Winners”) and Sponsor will provide to each Potential Finalist Winner a written
assignment of all right, title, and interest in the copyright to the Entrant’s Finalist
Submission (“Assignment”). Potential Finalist Winners who are compliant with these
Official Rules and return to Sponsor an executed Assignment as directed by Sponsor
within forty-eight (48) hours of Potential Finalist Winner’s receipt of the Assignment will
be deemed “Finalist Winners”. On or about September 1, 2018, Sponsor will announce
the Finalist Winners on the Contest Site. In the event of a tie for the last Finalist Winner
spot, the tie will be broken based on the highest score in the first Submission Round
Judging Criteria, continuing thereafter to each Submission Round Judging Criteria, in
order, as needed to break the tie. If a Potential Finalist Winner is not compliant with
these Official Rules or does not execute and return the Assignment to Sponsor as
directed by Sponsor within forty-eight (48) hours of Potential Finalist Winner’s receipt of
the Assignment, then Potential Finalist Winner’s Submission will be deemed ineligible
and Sponsor may select the Submission with the next highest total score under the
Submission Round Judging Criteria as a Finalist Submission in its place, in Sponsor’s
sole discretion.Finalist Competition and Grand Prize Winner: The (5) Finalist Winners will
advance to the final competition to be held at Doritos Blaze Stage in Las Vegas,
Nevada on or around September 20, 2018 (the “Final Competition”). At the Final
Competition, each Finalist will be required to perform their Submission live on stage (the
“Live Performance”), and such Live Performance may be filmed, video-recorded, soundrecorded,
photographed or otherwise recorded (the “Recordings”) by Sponsor or its
agents (“Sponsor Recordings”) or others as allowed by Sponsor and/or the venue. The
Live Performance of the Submission must include only the original lyrics and the same
beat he/she submitted in the winning Submission and cannot exceed (1) minute.
The Finalist Winners will be judged by the Panel based on the Final Competition
Judging Criteria. The Finalist Winner with the highest cumulative score based upon the
Final Competition Judging Criteria will be deemed the Grand Prize Winner. In case of a
tie for the Grand Prize Winner, the tie will be broken based on the highest score in the
first Final Competition Judging Criteria, continuing thereafter to each Final Competition
Judging Criteria, in order, as needed to break the tie. The Grand Prize Winner shall be
announced at the completion of the Final Competition and Sponsor shall have the right
but not the obligation to also make such announcement(s) within all promotional
websites, assets and materials related to the Contest.
 
6. PRIZE DETAILS:(1) GRAND PRIZE: Grand Prize Winner will be eligible to receive a Grand Prize (“Grand Prize”) consisting of $50,000 USD (awarded in the form of a wire transfer or check, payable to Finalist Winner).
(5) FINALIST PRIZES: Trip for each Finalist Winner and (1) guest to Las Vegas, Nevada. Trip consists of round-trip coach air transportation (from major airport nearest winner’s home), double-occupancy hotel accommodations for (2) nights and $400 spending money (awarded in the form of a check, payable to winner). ARV: $2,150 each.
Limit (1) Finalist Prize per person/household.
Applicable to Finalist Prizes: Travel and accommodations are subject to availability
and change. Ground transportation, meals, gratuities and all other expenses not
specified herein as part of the prize are solely Finalist Winner’s responsibility. Selection
of airline, ground transportation, and overnight accommodations, are at Sponsor’s sole
discretion. Finalist Winner will be required to provide a credit card prior to hotel check-in
and is solely responsible for all incidental charges and may be required to sign an
additional liability release for the use of the accommodations. All travel subject to
availability, government restrictions and regulations, hotel, airline, airport or other
transportation terminal (or other types of transportation) restrictions and regulations.
Other restrictions may apply. Sponsor assumes no responsibility for canceled, delayed,
suspended or rescheduled prize-related activities (including, but not limited to any act or
omissions whatsoever by the air carriers, hotels, venue operators, transportation
companies, or prize providers) beyond its control. In the event the Finalist Winner
and/or his/her guest(s) misses a scheduled airline flight (through no fault of Sponsor or
due to Force Majeure), Sponsor will have no liability for any costs associated with
changing or rebooking any transportation. Finalist Winner and guest must have all
necessary identification and/or travel documents (e.g. passport or valid driver’s license)
required for travel. Finalist Winner and guest must travel on same itinerary. Guest must
be 18 years of age or older (19 or older in AL and NE) and must complete and return a
Liability/Travel Release within three (3) days of Finalist Winner’s prize acceptance (see
Rule #8). Actual value may depend on city/date/time of departure. Any difference
between the stated value and actual value of a prize will not be awarded.
If Sponsor so elects, Finalists and their guests may be required to submit to a
confidential background check to help ensure that a Finalist and/or guest will not pose a
safety threat or, in the Sponsor’s sole discretion, bring the Sponsor into public disrepute,
contempt, scandal or ridicule or reflect unfavorably on the Sponsor. Sponsor reserves
the right to disqualify the Finalist based on the results of his/her background check. If
requested, the Finalist and guests agree to sign waiver forms authorizing the release of
personal and background information. Finalists must abide by all venue policies.
Sponsor and/or venue operator reserves the right to revoke full or partial prize from any
Finalist guest who it and/or venue personnel deem may, in their sole discretion, to have
violated any venue policy or law, and/or may bring Sponsor and/or venue operator into
disrepute.
If Finalist/Grand Prize Winner cannot accept prize as stated by Sponsor, prize may be forfeited. THE MAXIMUM TOTAL ARV OF ALL PRIZES IN CONTEST IS: Sixty thousand seven hundred and fifty dollars ($60,750).
7. LIMITATIONS OF LIABILITY AND RELEASE: No liability or responsibility is
assumed by Sponsor or Contest Parties resulting from Entrant’s participation in or
attempt to participate in the Contest or ability or inability to upload or download any
information in connection with the Contest. No responsibility or liability is assumed by
the Sponsor or the Contest Parties for technical problems or technical malfunction
arising in connection with any of the following occurrences which may affect the
operation of the Contest: Hardware or software errors; faulty computer, telephone,
cable, satellite, network, electronic, wireless or Internet connectivity or other online or
network communication problems; errors or limitations of any Internet or wireless
providers, servers, hosts or other providers; garbled, jumbled or faulty data
transmissions; failure of any online transmissions to be sent or received; lost, late,
delayed or intercepted transmissions; inaccessibility of the Web Site in whole or in part
for any reason; traffic congestion on the Internet or Web Site; unauthorized human or
non-human intervention of the operation of the Contest, including without limitation,
unauthorized tampering, hacking, theft, virus, bugs, or worms; or destruction of any
aspect of the Contest, or loss, miscount, misdirection, inaccessibility or unavailability of
an e-mail account used in connection with the Contest. Sponsor and Contest Parties
are not responsible for any typographical, technical, computer, network or human errors
which may occur in the administration of the Contest, the uploading, the processing of
Submissions, the judging of Submissions, the announcement of prizes or in any
Contest-related materials. Use of Web Site is at user’s own risk. Sponsor and Contest
Parties are not responsible for any personal injury or property damage or losses of any
kind which may be sustained to user's or any other person's computer or web-enabled
device resulting from participation in the Contest. SOME JURISDICTIONS DO NOT
ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL,
CONSEQUENTIAL, OR OTHER DAMAGES; AS A RESULT, THE ABOVE
LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU, AND THE FOREGOING
PARAGRAPHS SHALL NOT APPLY TO A RESIDENT OF NEW JERSEY TO THE
EXTENT DAMAGES TO SUCH NEW JERSEY RESIDENT ARE THE RESULT OF
SPONSOR OR CONTEST PARTIES’ NEGLIGENT, FRAUDULENT OR RECKLESS
ACT(S) OR INTENTIONAL MISCONDUCT.
 
8. FINALIST NOTIFICATION: Potential Finalists will also be notified by phone and/or email and will be required to respond to the notification within (48) hours indicating whether he/she can accept the Finalist Prize. Finalists will be required to complete, sign and return an Affidavit of Eligibility/Liability Release, and, where lawful, Publicity Release within three (3) days of prize notification. Grand Prize Winner may be required to complete, sign and return additional releases within (7) days of being named the Grand Prize Winner. Sponsor is not responsible for suspended or discontinued wireless or Internet service which may result in a potential Finalist/Grand Prize Winner not receiving an initial prize notification; nor is Sponsor responsible for any change in entrant's e-mail address, mailing address or phone number. If (i) an attempted notification is returned as undeliverable, (ii) a potential Finalist cannot be verified, (iii) any required documents are not returned within the required number of days, or (iv) a potential Finalist is otherwise unable to accept the prize as stated, the applicable prize will be forfeited and may be awarded to an alternate Finalist/Grand Prize Winner (time permitting), in Sponsor’s sole discretion. Note: Any communication between Entrant and Sponsor or its agencies regarding this Contest (e.g. phone calls, text messages, chats, e-mails, etc.) may be recorded for quality assurance and training purposes. Finalists’ names may be included in a publicly available winners’ list. By accepting a prize, each Finalist and the Grand Prize Winner agree that his/her Submission, Live Performance and Sponsor Recordings (collectively “Finalist
Materials”) will be deemed Works Made For Hire under the Copyright laws of the United States, but if any cannot be so deemed, then the Finalist irrevocably assigns and transfers to Sponsor all of his/her right, title and interest in and to his/her Finalist Materials (as applicable) including all but not limited to all copyright and any other intellectual property rights which he or she may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged. Each Finalist hereby waives in favor of Sponsor, all rights of “Droit Moral” or “Moral Rights of Authors” or any similar rights or principles of law that a Finalist may now or later have to his/her Finalist Materials (including the Final Competition performance). Sponsor reserves the right to alter, change or modify the winning Submission, in its sole discretion. Sponsor shall have the unlimited right and permission to use, modify, edit, distribute, publish, reproduce, display, exhibit, create derivative works of or to otherwise transmit the Finalist Materials, in any media, including digital, electronic, print, television, film and any other media now known or hereafter devised, for the purpose of trade, advertising and promotion, or any other lawful purpose whatsoever, in perpetuity, throughout the world, without additional compensation to the Entrant or to any other party, except where prohibited by law. Upon request of Sponsor, each Finalist shall execute and deliver such additional instrument of assignment, as may be solely deemed by Sponsor, reasonably necessary to establish the ownership of record of the right, title and interest in and to the Finalist Materials and of the copyrights transferred and “Moral Rights of Authors” waived under these Official Rules. Should Sponsor fail to request the said assignment as stated, that shall not be deemed a waiver of Sponsor’s rights and Sponsor may at a later time request the assignment.
9. RELEASE OF LIABILITY: By participating in the Contest, Entrants agree (a) to
release Sponsor and Contest Parties, from any and all claims, damages or liabilities
arising from or relating to such Entrant's participation in the Contest; (b) under no
circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives
all rights to claim, punitive, incidental, consequential, or any other damages, other than
for actual out-of-pocket expenses; (c) all causes of action arising out of or connected
with this Contest, or any prize awarded, shall be resolved individually, without resort to
any form of class action; and (d) any and all claims, judgments, and award shall be
limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs.
By accepting a prize, recipients (a) agree that Sponsor and Contest Parties will have no
liability whatsoever for, and shall be held harmless by Finalist against, any liability for
injuries, losses or damages of any kind to persons or property resulting in whole or in
part, directly or indirectly, from participation in the Contest; from acceptance,
possession, misuse or use of any prize and (b) grant (and agree to confirm grant in
writing promptly upon request) to Sponsor and those acting under Sponsor’s authority,
and each of their respective designees the right to use his/her name, photograph,
likeness, voice, image, statements, biographical information, the Submission and
Finalist Materials (which may be altered, changed, modified, edited, used alone or with
other works, as solely determined by Sponsor) at any time or times, for advertising,
trade, publicity and promotional purposes in any media now known or hereafter
discovered, worldwide, including the Internet without review, notification or approval,
and additional compensation or consideration, unless prohibited by law. Sponsor and
Contest Parties are not liable in the event that any portion of the Contest is canceled
due to weather, fire, strike, acts of war or terrorism, technical difficulties, or any other
condition beyond their reasonable control (a “Force Majeure Event”).
10. GENERAL CONDITIONS: Finalists/Grand Prize Winner are solely responsible for
any taxes on their prize. No cash equivalent or substitution of prize is offered, except at
the sole discretion of the Sponsor. No transfer of prize is permitted. Unclaimed prizes
will not be awarded. If a prize, or any portion thereof, cannot be awarded for any
reason, Sponsor reserves the right to substitute prize with another prize of equal or
greater value. If for any reason the Contest is not capable of running as planned,
including infection by computer virus, bugs, tampering, unauthorized intervention, fraud,
technical failures, or any other causes which corrupt or affect the administration,
security, fairness, integrity or proper conduct of the Contest, Sponsor reserves the right
to (a) cancel, suspend and/or modify the Contest, or any part of it, and (b) disqualify any
individual who is responsible for such action. If terminated, Sponsor may, in its sole
discretion, determine the Finalists from among all eligible Submissions received up to
time of such action in a manner as determined by an independent judging agency. This
Contest is offered only in the United States and all issues and questions concerning the
construction, validity, interpretation and enforceability of these Official Rules, entrant’s
rights and obligations, or the rights and obligations of the Sponsor in connection with the
Contest, shall be governed by, and construed in accordance with, the laws of State of
Texas, without giving effect to any choice of law or conflict of law rules. By entering,
entrants consent to the jurisdiction and venue of the federal, state and local courts for
Collin or Dallas Counties, Texas.
LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN
ENTRANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER OR VANDALIZE
THE WEB SITE OR INTERFERE WITH THE OPERATION OF THE CONTEST IS A
VIOLATION OF CRIMINAL AND CIVIL LAWS AND THE SPONSOR RESERVES THE
RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST
ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
