The NUTELLA® HAPPY PANCAKE SWEEPSTAKES OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. By entering the NUTELLA® Happy Pancake Sweepstakes (the “Promotion”), entrants agree to abide by these Official Rules (the “Official Rules”). The decisions of the Sponsor/Administrator with respect to all aspects of the Promotion are final. The information you provide will only be used to administer the Promotion in accordance with the Sponsor’s privacy policy.

1. ELIGIBILITY: The NUTELLA® Happy Pancake Sweepstakes is open only to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older have a valid e-mail account as of the date of entry (“Eligible Entrants”). Employees, agents, directors and officers of Ferrero U.S.A., Inc. (the “Sponsor”), Berlin Productions, Inc. (the “Administrator”) and any of their respective parents, affiliates, subsidiaries, representatives and fulfillment, advertising, marketing and promotion agencies, and prize suppliers (collectively, the “Released Parties”), and each of their immediate family members (spouse, parent, child, sibling and their respective spouses), regardless of where they reside, and/or those living in the same household of each such employee (whether related or not) are not eligible to enter or win. Void in Puerto Rico and where prohibited or restricted by law. The Promotion is subject to all applicable federal, state and local laws and regulations. Sponsor’s server will be the official timekeeper for the Promotion.

2. PROMOTION PERIOD : The Promotion begins on January 14, 2019 at 12:00:00 am eastern time (“ET”) and ends on June 15, 2019 at 11:59:59 pm ET (“Promotion Period”).

3. HOW TO ENTER: During the Promotion Period, Eligible Entrants (each an “Entrant”) may enter the Promotion by visiting www.nutella.com where Entrant will be prompted to (i) confirm that he/she is 18 years of age or older. Once completed, Entrant will be instructed to click on the “Submit” icon which will display the official promotion entry form (the “Entry Form”). (ii) Entrant will be required to complete the Entry Form by entering his/her Entry Code (see rule 4 on how to receive an Entry Code, with or without purchase), providing full name, full mailing address (including zip code), daytime telephone number (including area code), and a valid e-mail address. Entrant will also be required to successfully complete a CAPTCHA, and confirm compliance with these Official Rules. Submission of a completed Entry Form will activate a short animation and reveal whether Entrant is a potential winner of a prize, and, if so, which prize was potentially won. If Entrant receives a winning message, he/she will be required to verify the information submitted on the Entry Form. It is the potential winning Entrant’s responsibility to provide his/her correct mailing address and email address for a prize to be awarded.

All entries/prize claims must be received on or before 11:59:59 PM ET on July 3, 2019.

An Entry Code may only be used once during the Promotion Period; however, there is no limit to the number of times an Entrant may enter the Promotion provided that each time a different valid Entry Code is used.

If entering using a mobile device, entry may require data usage or incur data usage charge. Check your mobile plan for rates/details. Wireless access may not be available in all areas.
By entering the Promotion, Entrant is confirming compliance with the Official Rules, and if selected as a potential winner of a prize, Entrant acknowledges that the prize must be accepted as awarded, without substitution, and releasing the Released Parties from any liability in connection with the prize or this Promotion.
If it is determined that an Entrant has entered in a fashion not sanctioned by these Official Rules, the Entrant will be disqualified and all of the entries submitted by the Entrant will be void. Entries generated by script, macro, robotic, programmed, or any other automated means are prohibited and will be disqualified. The Released Parties will not be responsible for late, lost, illegible, falsified, damaged, misdirected, mutilated, garbled, postage-due or incomplete Entry Codes, entries or prize claims and all such Entry Codes/entries/prize claims are void. All entries become the property of the Sponsor upon receipt and none will be returned. Should multiple users of the same e-mail account enter the Promotion and a dispute thereafter arise regarding the identity of the entrant, the authorized account holder of said email account at the time of entry will be considered the entrant. “Authorized Account Holder” is defined as the natural person who is assigned an email address by an Internet access provider, on-line service provider or other organization which is responsible for assigning email addresses or the domain associated with the submitted email address.

4. HOW TO RECEIVE AN ENTRY CODE: A total of 1,400,000 unique Entry Codes will be available during the Promotion Period. There are (2) ways to receive a unique Entry Code, while supplies last:

i. With Purchase: During the Promotion Period, visit a retail store located in the U.S that sells NUTELLA® products and purchase a specially-marked NUTELLA® product (“Participating Product”). The Participating Product will have a sticker located on the top of the lid which will contain a unique Entry Code. Only Participating Products will contain a sticker with an Entry Code.

ii. Without Purchase: Mail a 3”x5” inch card or piece of paper on which is legibly printed your first name, last name, daytime phone number, age and e-mail address to:

Unique Entry Codes (and prize claims) are subject to verification and will automatically be void if not obtained through authorized, legitimate channels, or if illegible, altered, forged, defaced, mutilated, tampered with or irregular in any way or if the unique Entry Code contains a printing or other error.

IN ORDER TO CLAIM A PRIZE, YOU MAY BE REQUIRED TO PROVIDE THE PACKAGING/PROOF OF PURCHASE OR E-MAIL FROM ADMINISTRATOR SUPPLYING THE UNIQUE ENTRY CODE (AT THE SOLE DISCRETION OF THE SPONSOR/ADMINISTRATOR). KEEP SUCH MATERIALS IN A SAFE PLACE. Failure to provide materials used to supply the unique Entry Code to the Sponsor/Administrator within the timeframe and in the manner requested by the Sponsor/Administrator (or if Sponsor/Administrator determine in their sole discretion that such materials are inadequate or unsatisfactory in establishing authenticity of Entry Code) may result, at the sole and absolute discretion of the Sponsor/Administrator, in disqualification of the applicable unique Entry Code or Entry Codes and your disqualification from the Promotion. Prizes must be accepted as awarded without substitution, are not transferable, not for resale and not convertible to cash. In the event a Prize cannot be awarded as described for any reason, Sponsor reserves the right to substitute a Prize of equal or greater value without liability. ARV of prizes are as of the date of printing of these Official Rules. The difference in value of prize as stated herein and value at time of prize notification, if any, will not be awarded.

6. SEEDING OF PRIZES AND THE ODDS OF WINNING: The odds of winning a Prize will depend on the number of entries and timing of eligible completed entries recorded by the Promotion computer (Sponsor’s server). At the beginning of the Promotion Period, there are six thousand, and twenty (6,020) Prizes available. Unclaimed or forfeited prizes will NOT be awarded. Using a computer algorithm, Sponsor/Administrator will randomly pre-select a series of winning times during the Promotion Period, each of which is associated with a single, randomly pre-selected Prize. The time at which an entry is recorded by the Promotion computer will determine whether an eligible person is a potential winner of a Prize (as well as the specific Prize potentially won). Subject to the provisions of these Official Rules, the first Entrant who completes an entry at or after a randomly pre-selected winning time is the potential winner of the corresponding Prize, notification of which will be delivered immediately after Entrant’s entry.
No prize substitution, except by Sponsor who reserves the right to substitute a prize of comparable or greater value, at its sole discretion. All federal, state, and local taxes on prizes are the sole responsibility of winners. All costs and expenses not specified herein as being awarded are the sole responsibility of winner. In the event that total value of prize(s) won is subject to taxes, winner will be issued a 1099 Tax Form for the value of the prize(s) and agrees to cooperate with Sponsor and its agencies relative to issuance of same.

7. PRIZE RESTRICTIONS: Potential Grand Prize winners will be contacted and required to sign and return an Affidavit of Eligibility, Release of Liability, Prize Acceptance Form and, where legally permissible, a Publicity Release within ten (10) days of attempted delivery of same. If such documents are not returned within the specified time period, prize notification (for any prize) is returned as undeliverable, Sponsor is unable to contact potential winner (of any prize) or potential winner (of any prize) is not in compliance with these Official Rules, the prize will be forfeited. If the potential Grand Prize winner is a minor in his/her state of residence, his/her parent/legal guardian must complete the required information in such same time period and accept any prize in his/her name.

In no event will more than the stated number of prizes be awarded. If the number of valid prize claims for a given prize category exceed the number of prizes for such prize category, Sponsor/Administrator will award only the indicated number of prizes for such category previously not awarded by means of a random drawing consisting of all valid prize claims from eligible persons for such category. All prizes are awarded “as is” with no warranty or guarantee, either express or implied, by Sponsor. Actual items offered as prizing may differ from images of same in Promotion advertising, with Sponsor and the other Released Parties disclaiming any and all liability in conjunction therewith. Sponsor/Administrator are not responsible for any change of e-mail address and/or mailing address of Entrants. First Prizes and Second Prizes will be shipped to the address provided on Entry Form and verified online at the time of prize notification.

Only Grand Prize winners will be contacted via phone and or email to confirm shipping information is correct.

8. Limitation of Liability: No liability or responsibility is assumed by Sponsor, or the other Released Parties resulting from Entrant's participation in or attempt to participate in the Promotion, or ability or inability to upload or download any information in connection with the Promotion. No responsibility or liability is assumed by Sponsor or the other Released Parties for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Promotion: (a) hardware or software errors; (b) faulty computer, cable, satellite, network, cellular, electronic, Internet connectivity or other online or network communication problems; (c) errors or limitations of any Internet or wireless service providers, servers, hosts or other providers; (d) garbled, jumbled or faulty data transmissions; (e) failure of any online transmissions to be sent or received; (f) lost, late, delayed or intercepted transmissions; (g) inaccessibility of the Website in whole or in part for any reason; (h) traffic congestion on the Internet or the Website; (i) unauthorized human or non-human intervention of the operation of the Promotion, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, or worms; (j) error, omission, interruption, deletion, defect, theft or destruction of, unauthorized access to, delay in operation, transmission, distribution of, alteration of, whether caused by the Entrant, or otherwise; (k) any of the equipment or programming associated with or utilized in this Promotion, or otherwise; or (l) destruction of any aspect of the Promotion, or loss, miscount, misdirection, inaccessibility or unavailability of an e-mail account used in connection with the Promotion. 9. General Terms: By entering, each Entrant (or parent/legal guardian if Entrant is a minor in his/her state of residence) agrees (and agrees to confirm in writing) (a) that Sponsor and its designees shall have the right and permission to use in any manner (unless prohibited by law) Entrant's name, city and state of residence, for advertising and/or trade and/or promotion and/or any other purpose now or hereafter known anywhere in the world in perpetuity without compensation, permission or notification to Entrant or any third parties, except where prohibited by law; (b) to release the Released Parties from all liability and to indemnify, defend and hold harmless the Released Parties from and against any claim, action, liability, loss, injury or damage to Entrant or any other person or entity, or personal injury or death to Entrant or any other person or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of (i) the acceptance, possession, use or misuse of a prize; (ii) participation in or administration of this Promotion; (iii) the exploitation of any of the rights granted herein; and (iv) any element of this Promotion; (c) to assume all liability for any injury or damage related to (a) (i)-(iv); (d) to be bound by the Terms (including, without limitation, of the Official Rules and the decisions of the Sponsor which are final); (e) to waive all rights to claim or collect punitive, incidental, consequential or any other damages (to the fullest extent permitted by law); (f) that all causes of action relating to this Promotion will be resolved individually without resort to any form of class action; (g) that any and all claims, judgments, or awards shall be limited to actual out of pocket costs incurred, excluding attorneys' fees; and (h) that New York internal, substantive law (i.e., without regard to conflict of law/choice of law rules) shall apply exclusively to the Promotion, without regard to its conflicts of law principles, and that any dispute with respect to the Promotion shall be resolved in either the federal or state courts located in the County of New York, State of New York and that Entrant (or parent/legal guardian if Entrant is a minor in his/her state of residence) expressly agrees to the personal jurisdiction of such courts and waives any right of change of venue, forum non conveniens or the like.
Sponsor reserves the right in its sole discretion to cancel, terminate, modify, or suspend the Promotion if fraud, technical failures or errors, viruses, bugs, unauthorized human intervention or any or other similar causes or factors beyond Sponsor's reasonable control corrupts, impairs or compromises the administration, security, integrity or fairness of the Promotion (or portions thereof), as determined by Sponsor in its sole discretion. Should the Promotion be cancelled or terminated for any of the aforementioned reasons, the prizes may be awarded in any manner deemed fair and equitable by Sponsor, in its sole discretion, from among those Entries submitted prior to the action taken, or Sponsor shall have the right to proceed in such a manner as may be deemed fair and equitable by Sponsor in its sole discretion. In the event the Promotion is cancelled or terminated, notice will be posted online. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion materials, including without limitation, the Website, and the Official Rules, the Official Rules shall prevail, govern and control.
Any damage made to any Promotion-related website will be the responsibility of the authorized e-mail account holder of the e-mail account associated with the damage in question. Any Entries (entries/prize claims) suspected of being fraudulent (including those using robotic, automatic, programmed, or similar methods of participation) may be disqualified, based on determinations made solely by Sponsor. Sponsor/Administrator reserve the right, in their sole discretion, to prohibit the participation of or disqualify an individual if fraud or tampering is suspected in connection with the Entry, or the operation of the Promotion, if the individual fails to comply with any requirement of participation as stated herein or with any provision in these Official Rules, if an individual is acting in violation of these Official Rules or is acting in an unsportsmanlike or disruptive manner or with intent to annoy, abuse, threaten or harass any other person.
